Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FastCollab Systems Private Limited ("Company," "we," "us," or "our") regarding your use of the CleoAI AI agents platform ("Service").

By accessing or using CleoAI, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

Description of Service

CleoAI is an AI agents platform that provides:

• Support Agent: AI-powered customer support automation including intelligent triage, smart grouping, auto-response drafting, and workload analytics
• AI Engineer: All Support Agent capabilities plus code-aware support including GitHub integration, AWS log analysis, AI code fixes, and root cause analysis
• Team collaboration features for assignment, tracking, and issue resolution
• Customer portal for ticket visibility
• Multi-channel intake from email, Slack, Discord, and API webhooks

Account Registration

To use CleoAI, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 16 years old to use this Service. By using CleoAI, you represent that you meet this age requirement.

AI Agent Usage

By using CleoAI's AI agents, you understand and agree that:

• AI agents process your support data to provide automated triage, grouping, and responses
• AI-generated responses are suggestions and should be reviewed before sending to customers
• AI code fixes (AI Engineer) are proposals that require developer approval before deployment
• AI analysis is provided "as-is" and may not always be accurate
• You retain responsibility for all actions taken based on AI recommendations

Workspace and Team Management

As a workspace owner or administrator, you are responsible for:

• Managing team member access and permissions
• Ensuring team members comply with these Terms
• The content and data shared within your workspace
• Obtaining necessary consents for connecting email accounts, code repositories, and cloud services
• Managing customer portal access and user credentials

Third-Party Integrations

By connecting third-party services to CleoAI, you:

• Authorize us to access data from those services as necessary to provide our AI agents
• Confirm you have the right to connect and share that data
• Understand that connected data will be processed by our AI agents
• Accept that we store necessary data on our servers for the Service to function

Supported integrations include email providers (Gmail, Outlook, Yahoo), code repositories (GitHub), and cloud platforms (AWS). You may disconnect services at any time through your account settings.

Acceptable Use

You agree NOT to use CleoAI to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Send spam, phishing emails, or malicious content
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or AI agent functionality
• Use the Service for any illegal or unauthorized purpose
• Share login credentials or allow unauthorized access
• Attempt to reverse engineer, extract, or manipulate AI models

Intellectual Property

The CleoAI service, including its AI agents, design, features, and content, is owned by FastCollab Systems Private Limited and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of your data and content. By using CleoAI, you grant us a limited license to store, process, and analyze your data as necessary to provide AI agent services.

Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• That AI agents will always produce accurate results
• That the Service will meet all your requirements
• That defects will be corrected immediately

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FASTCOLLAB SYSTEMS PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from AI agent recommendations or actions
• Damages resulting from unauthorized access to your account
• Service interruptions or data loss

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless FastCollab Systems Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service and AI agents
• Your violation of these Terms
• Your violation of any third-party rights
• Actions taken based on AI agent recommendations
• Content you share through the Service

Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
